Terms
Last updated: 13 October 2026. The German version prevails.
1. Scope and contracting party
These terms govern the use of the ntgrator application. Your contracting party is ntgrator GmbH i. G., Mergenthalerallee 79 – 81, 65760 Eschborn, Germany. The service is offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB); consumers cannot use ntgrator. Deviating terms of the customer apply only if we have agreed to them in text form.
2. Conclusion of contract
The contract is concluded when we set up your access and you activate it via the invitation. By activating it you confirm that you are acting as a business.
3. Service
We provide ntgrator to you as a service over the internet, in a dedicated instance separated from other customers. ntgrator brings together orders from several sales channels and supports shipping labels, invoices, stock and prices. The scope is determined by the plan you choose. We continue to develop ntgrator and may change features as long as the purpose of the contract is preserved.
4. Marketplaces and third-party services
The integrations depend on third-party interfaces such as Amazon, eBay, Etsy, Kaufland, Shopify, Deutsche Post and DHL. If a third party changes, restricts or blocks its interface, this is not a defect of ntgrator; we adapt the integration where this is possible and reasonable. You need your own accounts and contracts with the marketplaces and carriers, comply with their terms and bear their fees and postage yourself. You grant access to your account yourself and can disconnect it at any time. ntgrator is an independent service and is not operated, reviewed or endorsed by any of these companies. Disclaimer for the Etsy integration: this application is provided solely by ntgrator GmbH i. G. (the “application developer”). You understand that Etsy, Inc. and its affiliates are not the developer of the application, do not provide the application service and make no warranty for the application or the data accessed through it.
5. Your obligations
You keep your credentials confidential, use the second factor and create user accounts only for people who work for your business. You check what ntgrator produces or transmits for you before it takes legal or commercial effect – in particular invoices, tax rates, customs details, stock levels and prices. You do not use ntgrator unlawfully or in a way that impairs operation for others.
6. Invoices, taxes and customs
ntgrator creates documents and details based on your settings and data; you maintain the tax rates in your catalogue yourself. You remain responsible for correctness, tax treatment and statutory retention. We do not provide tax or legal advice.
7. Plans and fees
The price list we communicate to you before the contract is concluded applies; all prices are exclusive of statutory VAT. Billing is monthly: fixed fees in advance, per-order fees in arrears. The fee per order is the same for all sales channels. If you are in default of payment, we may suspend access after a reminder and a period of 14 days; your data is retained. We announce price changes at least six weeks in advance in text form; you may then terminate with effect from the date of the change.
8. Availability and maintenance
We operate ntgrator with the care of a diligent provider and strive for continuous availability. We do not guarantee a specific availability. Updates and maintenance may cause short interruptions; we announce longer ones where possible.
9. Backups
We back up your instance regularly and keep encrypted backups separate from the server. This does not replace your own retention of the records you must keep under commercial and tax law; regularly export what you need permanently.
10. Data protection
How we process personal data is described in our privacy notice. We process your buyers' data on your behalf; for this we conclude a data processing agreement with you, which becomes part of this contract.
11. Support
For questions and incidents you can reach us through the help section in the application or by email. We access your instance only at your request – for a limited time, read-only and with buyer data masked.
12. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. In the event of a slightly negligent breach of a material contractual obligation – an obligation whose fulfilment makes the contract possible in the first place and on which you may rely – our liability is limited to the foreseeable damage typical for the contract, and in any case to the amount of the fees you paid to us in the six months before the damaging event. Otherwise liability for slight negligence is excluded. In the free plan we are liable only for intent and gross negligence. For loss of data we are liable only to the extent of the effort that would have been required for restoration had you kept proper backups of your own.
13. Term, termination and end of contract
The contract runs for an indefinite period. You may terminate it at any time with effect from the end of the current billing month, we with one month's notice to the end of a month; text form is sufficient. The right to terminate for good cause remains unaffected. You can export your data until the contract ends. After that we delete your instance including its backups three months after the contract ends.
14. Changes to these terms
We announce changes in text form at least six weeks before they take effect. If you do not object by that date, they are deemed accepted; we point this out in the announcement. If you object, either party may terminate the contract with effect from the date the changes take effect.
15. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the registered office of ntgrator GmbH i. G. If a provision is invalid, the remaining provisions remain valid. The German version of these terms prevails.
